OFFERINGS
● EQUITY TOKEN OFFERINGS (ETOs) are a novel way of
fundraising, which allow any kind of company -
blockchain-based or not - to issue Equity Tokens on
Blockchain in a public or private placement.
● An ETO is a hybrid investment model combining the
advantages of an IPO, an ICO, and a VC round.
● It is a quasi-IPO on Blockchain.
● ETOs can be conducted by any incorporated entity
worldwide (currently excluding USA).

● NEU token holders are entitled to a share of all platform revenue streams.
● For every NEU token an ETO investor receives, Fifth Force GmbH receives a matching amount.
● As platform operator, Fifth Force GmbH owns approximately 50% of NEU tokens in total supply.
PLATFORM FEE (3%)
After each successful ETO, a platform fee
is deducted from the invested amount
(ETH and nEUR) and distributed to NEU
token holders in proportion to the amount
of NEU they own.
TOKEN PARTICIPATION FEE (2%)
Within the same ETO, a token fee is deducted
from the total number of equity tokens sold.
These tokens are added to a portfolio of all
companies ever to conduct an ETO on the
platform, which NEU token holders own in
proportion to the amount of NEU they own.

14. OUR LEGAL ARCHITECTURE
● A paper agreement is generated at the time of the on-chain transaction, and shareholder rights are embedded in the
token, i.e. smart contract agreement.
● Both the smart contract and the legal contract are cryptographically hashed and identical, i.e., code represents the
same rights as on paper.
● In order to prove that the transaction took place, the investor can show the paper agreement (e.g., in a court of law).

● All equity token holders are represented by a sole nominee in an issuer’s cap table.
● The nominee is contractually bound to execute the will of the token holders as expressed via a smart contract, and
it performs a purely bureaucratic function.
