Statutory Certification
• Sections 906 and 302 require the CEO and CFO to
certify:
– The information contained in the periodic report fairly
represents in all material respects the financial condition
and results of operations of the company.
– Section 302 applies to each annual or quarterly report

statements

– Statutory criminal penalty of up to $1 million and 10 years
